General

Soeco primarily sells used products in their existing condition, unless otherwise stated. This also applies to refurbished products. We operate on a "first come, first served" basis, which means that unfortunately, it is not possible to reserve products before an order is placed. Our trained service personnel inspect all products before delivery and ensure that the product functions as expected and meets both Soeco's and the customer's high standards.

We supplement with new furniture for those who request it. New furniture is purchased on order for the customer (we are a retailer for most European brands on the market). Newly purchased furniture comes with warranties according to applicable laws. Should you, as a customer, change your mind regarding products that have been ordered on your behalf, we will assist you in finding a solution for disposal of the products.

 

Offers and purchase agreements

By accepting the provided offer, and once an order confirmation, order documentation, or proforma invoice has been issued, the parties enter into a binding purchase agreement where both parties commit to completing the purchase according to the terms stated below, except for deviations that have been specifically agreed upon and confirmed by Soeco in writing. A completed order involves a payment obligation. The right to cancel or exchange goods does not apply unless otherwise agreed upon in advance and specified in writing by Soeco.

Soeco's offers are valid for 3 weeks unless otherwise stated.

The orderer's name and personal and/or organization number as well as contact information (phone number, email address, address) are recorded in Soeco's customer register.

An order confirmation, order documentation, or proforma invoice is sent to the orderer via email, which serves as proof of purchase and may need to be presented upon delivery or in case of a possible complaint. Within one (1) business day after sending the order confirmation, order documentation, or proforma invoice, Soeco considers the order as approved by the orderer. Any changes to an already placed and confirmed order may incur costs.

 

Prices

We primarily cater to businesses – legal entities – and all our prices are stated excluding VAT and excluding, where applicable, shipping, assembly, and related charges. All Soeco products can also be leased or rented – feel free to ask our salespeople for full information. Prices are quoted in Swedish kronor. Other charges imposed by authorities, such as customs fees, will be paid by the orderer. The price applies according to the quotation provided, based on the conditions at the time of the offer. In situations where conditions change between order and delivery, Soeco reserves the right to pass on these cost increases to the orderer. This applies to cost increases related to currency exchange rate changes, raw material costs, purchasing costs from suppliers, freight and logistics costs, warehousing costs, and assembly costs. Regarding currency exchange rate changes, we reserve the right to revise the sales price for purchases made in a currency other than the one quoted if the exchange rate changes by more than 2% from the order to invoicing time, and pass this on to the orderer.

 

Payment

Soeco offers the following payment options, subject to credit approval. Variations may occur for customers with specific agreements.

Prepayment invoice for 100% of the order amount means that payment must be received by Soeco before Soeco purchases ordered goods or ships out stock items.

Prepayment invoice for a minimum of 50% of the order value, with the remaining 50% to be paid upon delivery.

In individual cases, credit may be granted after successful credit approval.

Invoice with payment terms according to the agreement. If part of the order is delivered, the orderer shall be invoiced and pay a pro-rata amount unless otherwise agreed. In case of any uncertainty regarding the invoiced delivery, the orderer must pay at least 90% of the invoice amount within the agreed time.

In case of delayed payment, Soeco reserves the right to charge late payment interest, late fees, and other compensation according to the law.

The orderer's payment obligation according to the agreement may not be transferred without Soeco's written consent. Soeco has the right to demand prepayment, shorten the payment term, or demand immediate payment of the entire outstanding claim if changes in the orderer's payment capacity justify this. Soeco also has the right to withhold security until the orderer has paid the final amount. If delivery is delayed as a result of this, the agreed delivery time will be extended accordingly. As soon as Soeco has received the final payment, security will be restored to the orderer.

For payments to Bankgiro, the invoice number must be stated as the reference number unless otherwise specified by Soeco. For partial invoicing or prepayment invoicing, a 10-day payment period applies. Otherwise, the standard credit period is 20 days unless otherwise agreed.

VAT of 25% is added to the price listed on our showroom or website.

*Soeco reserves the right to change the applicable interest rate in line with prevailing external conditions, and the customer should inquire about the current interest rate when entering into the agreement.

Soeco offers both Leasing and Rental agreements. Feel free to ask our salespeople! They will be happy to inform you about Soeco's full terms for each arrangement.

 

Disputes

Swedish law applies to this agreement.

In case of a dispute, it will be resolved through arbitration according to the Arbitration Rules of the Stockholm Chamber of Commerce (SCC). The arbitration will take place in Stockholm. However, Soeco may enforce payment of clear and due claims in the general court. Arbitration proceedings invoked with reference to this arbitration clause are confidential. The confidentiality applies to all information disclosed during the proceedings, as well as decisions or awards made as a result of the proceedings.

 

Retention of title

All goods remain the property of Soeco until full payment has been made. In the event of repossession, Soeco will decide which parts of the delivery remain unpaid. The orderer is, however, obliged to keep the goods insured for the benefit of the owner.

 

Shipping and delivery

Possible shipping methods and costs vary depending on the scope of the order and the delivery address. For project deliveries, the shipping option "Freight additional" is applied, meaning that freight will be invoiced after the final order is delivered. Carrying and assembly are recommended to ensure that the goods are handled properly and not damaged during delivery. Delivery, assembly, and installation are carried out at the specified delivery address by assemblers booked by Soeco at the orderer's expense. Electrical installation is not included. It is the orderer's responsibility to ensure that:

  • Access routes are clear and any obstacles or sensitive items such as other furniture are moved.
  • Surfaces are protected.
  • Elevators are available.
  • Storage areas and unpacking rooms are available.
  • Other work does not prevent or hinder installation.
  • The premises are cleaned before delivery/installation.
  • The work can be carried out by the assembler without interruption during regular working hours.
  • The assembler has access to electrical power and lighting during the installation.
  • Premises and storage areas during installation are locked securely, and keys are available.

When delivering and installing carpets or other floor coverings, as well as delivering and installing custom carpentry, the general delivery conditions issued by Sweden’s Flooring Retailers’ National Association, the Flooring Contractors’ Industry Association, and the Carpentry Manufacturers' National Association apply in relevant parts. If delivery or installation is delayed or prevented due to the orderer not adhering to the above, Soeco reserves the right to charge the orderer for any resulting costs. Soeco is not responsible for damage to delivered goods caused by abnormal humidity or temperature fluctuations in the premises designated by the orderer. If the premises differ from the provided documents in such a way that installation and assembly work are made more difficult or expensive, Soeco reserves the right to charge the orderer for any additional costs incurred. Drawing and connection of electrical, water, drainage, or similar lines is not part of Soeco's commitment. If the orderer requests changes or additions to the agreed or already performed work, the cost must be agreed upon and confirmed in writing between the orderer and Soeco before the work begins. The orderer is responsible for theft and damage at the site not caused by Soeco or its personnel that affects the delivered goods and tools intended for the delivery. Soeco does not assemble lighting fixtures or perform electrical installations.

 

Delivery times

Most products are specifically ordered for you as the customer and are manufactured and refined by Soeco or Soeco's suppliers based on the order, which is why Soeco can only provide an estimated delivery time for custom orders at the time of ordering. Once Soeco receives updated information from the supplier, Soeco will notify you, the customer.

Soeco reserves the right to delays in production from suppliers that Soeco cannot control. However, Soeco will always do everything possible to ensure that you, as the customer, receive your products within the desired time frame. In case of any delivery delays outside of Soeco's control, Soeco will not assume any financial responsibility toward the customer.

Delivery times can vary between different brands and seasons. Especially during summer and Christmas, production may be affected as some factories are closed for periods. Soeco communicates approximate delivery times, which means that deliveries may come sooner or later than estimated. Special fabrics and other customizations are not part of the regular delivery time and may further affect the delivery time.

Soeco tries, whenever possible, to combine orders and applies the "longest delivery time principle," unless otherwise agreed. This means that if the order contains items with different delivery times, Soeco will base the delivery on the item with the longest delivery time and deliver all items when they have arrived. If Soeco arranges partial deliveries at the customer's request, additional costs beyond the quotation may apply. Soeco reserves the right to charge the customer for such extra delivery instances.

If the customer wishes to make changes to the original order, it may affect the delivery time and/or price.

For deliveries outside Sweden, the following applies: Soeco will do its utmost to accommodate delivery and assembly requests for international deliveries. Contact Soeco for further information and orders. Additional costs for import and customs duties may apply when delivering outside Sweden. These are always paid by the customer.

 

Receiving delivery

As the customer, you are responsible for ensuring that the designated contact person is available to inspect and acknowledge receipt of the delivery at the agreed-upon time. If that person is not present to receive the delivery, Soeco reserves the right to charge the customer for any resulting costs. For example, if the customer is unavailable to receive the delivery, or cannot be reached at the provided phone number, has provided incorrect details for name, delivery address, or contact information, or if the customer refuses to accept the delivery as agreed. In the case of a failed delivery attempt, a cost of at least SEK 690 excluding VAT will apply, depending on the order size.

When the goods are ready for delivery, the customer must be ready to accept the goods within five (5) working days. If the customer informs Soeco that they are unable to receive the goods, a storage fee of SEK 150 per square meter/month will be charged for the goods stored. The customer is responsible for ensuring that the goods can be delivered into the premises, through doors, stairways, etc., on-site, and that there is a "free space" without any obstacles that may cause damage.

 

Transport and responsibility for the condition of the goods

In the case of transport purchases, where Soeco has agreed to deliver the goods to the customer at a specified address, the goods are considered delivered when the goods have been handed over to the customer at that address. In the case of pickup purchases, e.g., from Soeco's warehouse, the responsibility for the condition of the goods transfers from Soeco to the customer as soon as the customer takes possession of the goods.

If damage occurs during transport with one of Soeco's contracted freight companies, Soeco is responsible for any damages that occur during transport or delivery to the customer. When the customer receives their delivery, it is their responsibility to inspect the package for damage before signing the delivery note. The customer must always inspect the shipment immediately upon delivery and check both the exterior and interior packaging, boxes, or other packing material that the goods arrived in. If the package or goods are damaged, this must be noted on the delivery note and documented with photos and text, which should be reported immediately.

If the customer receives a delivery that shows any damage to the packaging or goods, it is important for the customer to document this immediately in text and photos. Transport damage must always be noted on the delivery note at the time of signing.

The customer should photograph the following:

  1. External and internal packaging
  2. The accompanying shipping label from the carrier
  3. The goods received

The customer should describe the issue and email the images to their salesperson at Soeco within 24 hours of receiving the goods. This helps Soeco process the case faster. The customer should keep the original packaging the goods came in. The goods must not be used until further notice. If Soeco has agreed to arrange transport (which is not with one of Soeco's contracted freight companies) to an address specified by the customer, such transport is always at the customer's risk according to the transport company's terms. If there is a reason to believe there is a loss or damage to the goods during transport, the customer must report this within the prescribed time to the transport company. The note should be made on the transport document. The customer may only direct their compensation claims for any transport damage directly to the transport company.

 

Complaints

If a delivered product is found to have a defect that Soeco is responsible for, the customer must immediately notify Soeco in writing within 6 days of the defect. Soeco will then, at its discretion, address the issue either by repairing the defect or replacing the product. Soeco is not obligated to pay compensation or otherwise reimburse the customer for any costs incurred as a result of the defect. A delivered product must not be returned without prior approval from Soeco. Complaints about visible defects must be made immediately when the customer discovers the defect or within a reasonable time. Soeco is not responsible for defects that arise due to improper handling, user error, wear and tear, or failure to follow maintenance instructions.

If the customer needs to make a complaint, they should first contact their responsible salesperson at Soeco, who will assist them further. To facilitate the handling of the case, the customer is asked to provide the order number, their name and contact information, the article in question, pictures of the defect, and a brief description.

 

Natural materials

Many of the products Soeco sells are made of natural materials such as stone, wood, leather, metal, and more. Natural materials often vary in appearance, size, and texture from one item to another, which is completely normal. This includes knots, grain, color variations, structural differences, marbling, calcite, sand pits, marks, and scars in natural leather, etc. These natural variations are characteristics that the designer often intends to preserve or enhance as part of the design and do not constitute valid grounds for a complaint. To maintain good quality over time, maintenance instructions must be followed. Soeco reserves the right to reject a complaint if damages and wear result from failure to follow these instructions.

 

Samples

Samples and pictures cannot guarantee that the exact appearance and nature of the product will be reflected. Color reproduction may vary between images and reality, and for product samples, the sample may only be indicative. Samples of natural materials such as wood, leather, and especially stone with marbling may differ more or less between different material pieces.

 

Force Majeure

If delivery is prevented, delayed, or complicated due to extraordinary circumstances beyond Soeco's control that could not reasonably have been anticipated or overcome without financial loss, Soeco may, without liability, delay the delivery time for part or all of the delivery. Alternatively, Soeco may rescind the agreement, either in full or in part. Such extraordinary circumstances include, but are not limited to, natural disasters, strikes, war, riots, blockades, actions by government authorities, fires, explosions, boycotts, and other force majeure-like circumstances that cause delays in supplier deliveries.

 

Copyright

Proposals, sketches, designs, drawings, presentations, and similar documents are the property of Soeco, and the recipient may not use or share such documents with third parties without Soeco's written consent.

 

Reservation

Soeco reserves the right to correct any errors in pricing or product information and reserves the right to change information and prices for all products in Soeco's range and to correct any incorrect pricing after the fact. Soeco also reserves the right to cancel incorrect orders.

 

Warranty, complaints and the right of withdrawal

Soeco provides a three (3) year warranty on all used products upon presentation of the invoice and delivery order from Soeco. For new products, the warranty is as per the original supplier's terms. In other cases, the warranty is according to applicable Swedish law. Other warranty periods may apply according to separate agreements.

 

Warranty handling

Soeco primarily repairs the product. If this is not possible, an identical or equivalent product will be offered. As a third option, the product will be returned and the customer will be refunded, with deductions made for associated costs such as shipping, assembly, and/or installation fees. Warranty does not apply in the following cases:

  • When the product has been subjected to abnormal or incorrect handling
  • For normal wear and tear or normal usage

 

Right of withdrawal for private purchases

The Distance Contracts Act (SFS 2005:59) applies from the moment the customer receives the product from Soeco. The customer has the right to cancel, return the product, and receive a refund within 14 days from when the customer notifies Soeco of their withdrawal. The customer will pay the return shipping costs as stipulated by law. The customer is responsible for how the item is returned, and the customer also bears the responsibility for the product during transport back to Soeco. The right of withdrawal does not apply to custom-made or specially manufactured products according to customer instructions.

In case of damage from shipping, claims related to damages from third parties or shipping companies should be made to them directly. The Swedish Consumer Sales Act, Section 8, states: "If the buyer bears the risk of the goods, they are obligated to pay for the goods even if they are damaged, lost, or diminished due to an event that is not attributable to the seller."
